By accessing or browsing the Site, you acknowledge that you have read and understood these Terms of Service and agree to be bound by them. Fuel.fit is a website that uses artificial intelligence to help you create, share, identify, find, or modify cooking recipes.

These terms release a2x Studio Inc., the company that manages it and its owner(s) from liability or limit their liability as well as that of other persons and contain other provisions you must read.

The term "We" herein means our company a2x Studio Inc., a business of Alexandre Le Moëligou.

You represent and warrant that you have the authority to accept all provisions of these Terms of Service and the provisions of the Privacy Policy; in this respect, you must be over 18 to use the fuel.fit website.

These Terms of Service for this transactional website and the Privacy Policy apply to your access to and use of this Site.

IT IS YOUR RESPONSIBILITY TO VALIDATE THE INFORMATION, RECIPES, ETC. THAT YOU FIND ON THE fuel.fit SITE BEFORE USING THEM, TO ENSURE, AMONG OTHER THINGS, THE SAFETY:

• OF FOOD CONSUMPTION.

Please note that we may amend these Terms of Service at any time. If you have an account with us that is valid and in good standing, you will be notified by email of any material changes. Your continued use of the Site will be deemed acceptance of the revised Terms. The effective version date will be indicated to help you see whether a new version has been added.

These Terms of Service are as described below, and the above forms part of them:

ACCEPTANCE OF THESE TERMS OF SERVICE

These Terms of Service constitute an agreement between a2x Studio Inc., a business of Alexandre Le Moëligou, on the one hand, and you on the other.

Each time you use the fuel.fit website, you confirm that you accept to be bound, without limitation or reserve, by these Terms of Service and you represent and warrant that you have the legal authority to accept these Terms on your behalf. If you do not accept every provision of these Terms, you are not authorised to access or use the website.

1. INTELLECTUAL PROPERTY AND AUTHORISATION TO USE THE WEBSITE

You are authorised to use this website if you are a Canadian resident and legally capable of entering into contracts under applicable law. You may not use the Site if you reside in a jurisdiction where access or use is prohibited or illegal, in whole or in part. It is solely your responsibility to determine whether you can lawfully use the Site, and you must comply with all applicable laws.

All intellectual property on the Site, except for User Content as defined below, is owned by a2x Studio Inc. or its licensors and includes any item protected by copyright or trademark. All content on the Site, except for User Content as defined below, including but not limited to text, code, software, design, photos, graphics, sounds, music, videos, applications, interactive features and all other content, constitutes works under Canadian copyright law and is owned by a2x Studio Inc. or its licensors. They are protected by Canadian and international copyright and trademark laws and other laws.

The elements appearing on the Site, except for Generated Content and User Content as defined below, may not be copied, reproduced, republished, uploaded, posted, transmitted, distributed or modified, in whole or in part, in text, graphic, audio, video or executable form, without the written permission of a2x Studio Inc..

You are authorised to use the website only as expressly described in these Terms and subject to applicable law. The Site is made available for your lawful personal or commercial use only. Any other purpose or manner of use is strictly prohibited.

You may print pages from the website strictly for personal purposes provided that you do not modify these pages and you do not remove or alter any identification, trademark, notice or disclaimer, visible or not.

2. USE OF CONTENT GENERATED BY a2x Studio Inc.

The fuel.fit site uses artificial intelligence to create cooking recipes or modified versions of cooking recipes (e.g., a vegetarian version of an existing recipe) (the recipes created or modified hereinafter referred to as "Generated Content"). By using the fuel.fit site in accordance with these Terms, you obtain a personal licence to use the Generated Content. This licence allows you to use the Generated Content, modify it and make a copy for personal purposes, but does not include the right to distribute the Generated Content. a2x Studio Inc. is and remains the owner of the Generated Content.

3. USER-GENERATED CONTENT

User-generated content or "User Content" includes recipes you may share on fuel.fit, as well as communications, information items, data, opinions, photos, profiles, messages, notes, hyperlinks, text information, designs, graphics, sounds or any other content that you and/or other users of the Site post or make available on or through the Site, except for Generated Content and other content that is our property.

BY CONTRIBUTING USER CONTENT ON THE fuel.fit SITE, YOU WARRANT THAT YOU HOLD ALL RIGHTS OR PERMISSIONS NECESSARY TO CONTRIBUTE THAT USER CONTENT.

When you make your User Content available to us (which may include personal information), you waive any expectation of privacy you might have regarding the use of your User Content and any image or personal information it may contain.

We are entitled to transmit, make available and disclose any User Content made available through this Site without notice to you.

You are solely responsible for your User Content and are prohibited from posting or transmitting via this Site: (i) any unlawful, threatening, defamatory, obscene or pornographic material or information, or any other data that you are not authorised to post, or that violates the rights of any person regarding publicity or privacy, or any other law or regulation, or any material that could be considered offensive to a child or adult; (ii) any violent, vulgar, obscene, pornographic or otherwise sexually explicit material or content harmful to any person or entity, or illegal or encouraging or advocating illegal activity, or the mention of illegal activities with the intent to commit them, including any content that would constitute (or represent an attempt at) child pornography, harassment, sexual assault, fraud, trafficking of obscene or stolen items or conspiracy to commit criminal activity; (iii) any commercial material or information (including, without limitation, advertising or marketing of any goods and services); (iv) any virus, corrupted data or other harmful, disruptive or destructive files; and (v) any data, material or information infringing, misappropriating or violating any copyright, trademark, patent or other proprietary right of any third party.

YOU ARE SOLELY RESPONSIBLE FOR ANY HARM RESULTING FROM ANY VIOLATION OF THE ABOVE RESTRICTIONS OR ANY OTHER DAMAGE RESULTING FROM USER CONTENT YOU POST VIA THIS SITE.

a2x Studio Inc. reserves the right, but is not obliged, to monitor User Content posted on its Site and to remove immediately any content

• that does not comply with the above terms, or;

• for which a2x Studio Inc. receives a notice to that effect.

4. USER ACCOUNT, PASSWORD AND ACCOUNT USE

If your use of the Site (e.g., to save recipes) requires an account identifying you as a user of the Site (a "User Account"):

a) You are solely responsible for your User Account, maintaining the confidentiality and security of your User Account and all passwords related to your User Account, and for the activity of any person who accesses your User Account with or without your permission.

b) You agree to notify us immediately of any unauthorised use of your User Account, services through your User Account, any password related to your User Account or any other security breach of your User Account or services provided through your User Account, and you agree to assist us, as we may request, to stop or remedy any security breach related to your User Account.

c) You agree to provide truthful, accurate and current user information, as we may request from time to time, and you agree to notify us of any changes to your user information as required so that the information we hold is truthful, accurate and current.

d) For purposes of website access, these accounts remain the property of a2x Studio Inc. and may be cancelled or suspended at any time by a2x Studio Inc. at its sole discretion without notice and without liability to you or any other person.

e) a2x Studio Inc. is under no obligation to verify the true identity or authority of any person using the appropriate codes (password, etc.) to access and use the website. a2x Studio Inc. may act upon any communication given through reliance on the use of such codes.

f) However, a2x Studio Inc. may, at its sole discretion and at any time, but without obligation, require proof of identity from any person seeking to access and use the website and may deny access to and use of the website in whole or in part or refuse to accept or act on any communication if a2x Studio Inc. is not satisfied with such proof of identity.

g) a2x Studio Inc. never sends unsolicited communication requesting your password or asking you to update your account information.

h) If passwords have been issued to you: (a) you are entirely responsible for their security and misuse; (b) you will keep the passwords secure and confidential at all times, will not disclose them to any other person or allow any other person to use them; (c) you will ensure that any use of the passwords complies with these Terms; (d) once you have accessed the website using the passwords, you will not leave the computer terminal used to access the website without closing your session and cutting off access to the website; and (e) you will immediately notify a2x Studio Inc. by email at "legal@a2x.studio", if you know or suspect that your codes have been lost, stolen, are known to or used by another person.

Any information you provide through the website, including registration information (name and email address), payment information (credit card numbers and expiry dates), and any transaction information, must be truthful, accurate, current and complete. a2x Studio Inc. relies on the information you provide. You will be solely responsible for any loss, damage and additional costs that you, a2x Studio Inc. or any other person may incur due to your provision of any false, inaccurate, incorrect or incomplete information or due to your failure to update registration or payment information within thirty (30) days of any change.

5. INFORMATION ABOUT LOGOS AND TRADEMARKS

The logos and other trade names and symbols appearing on or in connection with the website (the "Marks") are registered or unregistered trademarks, service marks and logos owned or licensed by a2x Studio Inc., its suppliers or their respective owners or licensors.

Any use of the Marks not in accordance with these Terms is strictly prohibited. Nothing appearing on the website or elsewhere shall be construed as granting, by implication, estoppel or otherwise, any licence or right to use the Marks displayed on the website.

6. ACCEPTABLE USE OF THE SITE

You agree not to use the Site for unlawful purposes or any purpose prohibited under this clause. You agree not to use the Site in any way that could damage the Site, services or business of a2x Studio Inc..

You also agree not to use the Site for the following purposes:

a) To harass, abuse or threaten others or otherwise violate any person’s rights;

b) To violate the intellectual property of a2x Studio Inc. or any third party;

c) To upload or transmit computer viruses or any other software that could damage the property of a2x Studio Inc. or others;

d) To commit or attempt to commit fraud;

e) To create or participate in gambling, lottery or pyramid scheme activities;

f) To publish or distribute obscene or defamatory material;

g) To publish or distribute any material that incites violence, hatred or discrimination against any group; and/or

h) To illegally collect information about others.

7. FRAMING, MIRRORING, SCRAPING, LINKING, DATA MINING AND DISPLAY PROHIBITED

Framing, mirroring, scraping or data mining of the website or its content, in any form and by any means, is strictly prohibited.

8. SOFTWARE AGREEMENTS

a2x Studio Inc. may use certain software, owned by a2x Studio Inc. or third parties, on its website. This software is protected by copyright.

9. CONTESTS / PROMOTIONAL CAMPAIGNS

If a2x Studio Inc. organises contests and promotional campaigns for website users and other persons, all contests and promotional campaigns are governed by these Terms and the applicable Contest Rules. By participating in a contest or promotional campaign via the website, you confirm your acceptance of these Terms and the applicable Contest Rules.

10. DISCLAIMER, EXCLUSIONS/LIMITATIONS OF LIABILITY AND INDEMNITY

The fuel.fit site exists for communications purposes only. You acknowledge and agree that any information posted on our Site is not intended to be legal, medical or financial advice and no fiduciary relationship has been created between you and a2x Studio Inc.. We are in no way responsible for the advice or any other information conveyed on the Site.

Exclusions of liability

a2x Studio Inc. and its suppliers shall in no event be liable to you or any other person for any losses or damages arising from the use of fuel.fit, including, without limitation, loss of data, business, markets, revenue, health, tangible property, use, production, reputation or goodwill, anticipated or otherwise (whether contractual, tortious or under another principle of law or equity), attributable to or related to your use of the website notwithstanding that a2x Studio Inc. and/or its suppliers may have been advised of the possibility of such losses or damages.

Statutory acknowledgment and exclusion in certain jurisdictions.

The exclusion of certain warranties and the limitation of certain liabilities are prohibited in certain jurisdictions. These statutory prohibitions might apply to you.

Furthermore, you expressly agree to defend and indemnify a2x Studio Inc. and/or its suppliers, as well as their officers, directors, employees and other agents, against all claims, actions and demands, recovery, loss, damage, fines, penalties or other costs or expenses, caused by third parties, of any kind or nature, including, without limitation, reasonable legal and accounting fees, resulting from: (i) your breach of these Terms or of the documents referenced herein; (ii) your violation of any law or the rights of a third party, or if there is a dispute between you and a third party; and (iii) your User Content.

THIS MEANS THAT IF YOUR USER CONTENT IS NOT COMPLIANT WITH THESE TERMS, YOU MAY BE HELD LEGALLY LIABLE.

11. CONFIDENTIALITY OF PERSONAL INFORMATION

a2x Studio Inc. collects, uses and discloses your personal information in accordance with its Privacy Policy, which you can consult here. a2x Studio Inc. may modify its Privacy Policy from time to time, at its sole discretion, as described therein and without any liability to you or any other person, by adopting a revised Privacy Policy accessible through the website. By accepting these Terms and each time you use the website, you consent to a2x Studio Inc. collecting, using and disclosing your personal information in accordance with its Privacy Policy as it exists at the relevant time.

12. PRIVACY PROTECTION

By using our Site, you may provide us with certain information.

When you register for a User Account, you provide us with a valid email address and may also provide us with certain additional information, such as your name and/or billing information. Depending on your use of our Site, we may also receive information from external applications you use to access our Site, or we may receive information about you through various web technologies such as cookies, histories, web beacons (also called "invisible GIFs"), tags, and others. We are not responsible for any damages or losses related to the use of third-party services or Other Sites whose link appears on our Site.

We do not sponsor or recommend Other Sites or their activities, products, services or content, unless expressly indicated in writing. If you use Other Sites and deal with the owners or operators of Other Sites, you do so at your own risk and agree not to make any claim against a2x Studio Inc. related to your use of Other Sites or your relations with their owners or operators. In respect of the relationship between you and a2x Studio Inc., these Terms, with all necessary adaptations, apply to your access to and use of Other Sites and their activities, products, services and content.

15. SEVERABILITY AND ENFORCEMENT OF CLAUSES

If any of these clauses is found to be illegal, declared null or unenforceable, in whole or in part, the unenforceable portion will not affect the validity and applicability of the other clauses of these Terms.

If any provision of these Terms is deemed illegal, null or unenforceable for any reason, that provision will be deemed severed from these Terms and the other provisions will remain in force and fully applicable. The provisions of these Terms benefit a2x Studio Inc., its suppliers and their successors, assigns and related persons, and benefit you and your heirs, executors, administrators, successors, assigns and estate representatives and are binding on you. You may not assign these Terms or the rights and obligations they confer without the prior written and express consent of a2x Studio Inc., which a2x Studio Inc. may refuse at its sole discretion. a2x Studio Inc. may assign these Terms and the rights and obligations they confer without your consent.

16. SERVICE INTERRUPTIONS

We may need to interrupt your access to the Site to perform maintenance or unplanned emergency work. You agree that your access to the Site may be affected by unplanned or unforeseen unavailability for any reason and that we will not be liable for any damages or losses resulting from such unavailability.

17. TERMINATION OF USER ACCOUNT

a2x Studio Inc. may suspend, limit or terminate your User Account and your use of the Site at its sole discretion, at any time, without notice and for any reason, including if the operation or efficiency of the Site or any equipment or network belonging to us or a third party is impaired by your use or abuse of the Site or if you have been or are currently in violation of any of the terms or provisions of these Terms. We will have no liability to third parties, including any third-party supplier, for any suspension, limitation or termination of your access to the Site.

18. NO WARRANTIES

Although we have made reasonable efforts to ensure that the content of this Site is accurate, we cannot guarantee that such content is free of errors, up to date or exhaustive, especially since it can be modified by users with User Content. In no event shall we be liable for any damages that may arise from an error on the Site.

We assume no responsibility for any damages resulting from misuse of the Site’s content. Nor can we guarantee that the Site will be available without interruption, error or omission, or that defects will be corrected. Nor can we guarantee that the Site and the servers that make it available are free of viruses or harmful components. 19. APPLICABLE LAW AND DISPUTE RESOLUTION

These Terms and the Privacy Policy, as well as your access to and use of the website, and any related matter, are governed by the laws of Québec and the applicable federal laws of Canada. Any dispute between you, a2x Studio Inc. or any other person, attributable or related to the website or these Terms or any related matter (collectively "Disputes"), shall be resolved before the courts of the Province of Québec, District of Montréal, Canada. You irrevocably submit to the exclusive jurisdiction of the court mentioned with respect to any Dispute.

No consent or waiver by any party to a breach or default by another party under these Terms: (a) shall be construed as consent to or waiver of a continuing breach or default or any other breach or default of these obligations or any other obligation of that party; or (b) shall be binding unless given in writing and signed by all parties.

All rights not expressly granted by these Terms are reserved to a2x Studio Inc..
